
Founding Member Deposit Terms & Conditions
Effective as of the date you pay a founding member deposit to The Hickory Club
By paying a founding member deposit you (the "Member") agree to these terms.
1. Definitions
a. "Founding Member": An individual who has paid the founding member deposit and will receive preferential membership terms including: (i) waiver of first three months of membership dues upon facility opening; (ii) priority access during any preview period; (iii) participation rights in Founders-only events, tournaments, and travel experiences; (iv) referral priority for prospective members; and (v) input opportunities on Club design and amenities prior to opening. Full Founding Member benefits will be detailed in the Club's membership agreement.
b. "Facility Opening" or "Commences Member Operations": The date on which a Club location begins accepting member access for regular use, as determined and announced by the Club.
c. "Within 30 Miles": Distance as determined by the Club using a standard mapping service between the facility address and the ZIP code on file for the Member at the time the Club makes the determination.
2. Deposit
The amount you pay is a refundable founding member deposit. This deposit secures your right to become a Founding Member of the Club at the applicable location, subject to the Club's standard membership agreement and your compliance with membership policies.
a. Upon a facility opening within 30 miles of the Member's ZIP code, the Member will have 60 days to execute the Club's membership agreement and commence membership. The deposit will be credited toward any initiation fee or initial membership dues. If the Member does not execute a membership agreement within this period, the deposit will be forfeited.
3. Refundability Window
Beginning January 1, 2026, the deposit is fully refundable upon request at any time until the date a Facility Opening occurs within 30 miles of the ZIP code the Member has supplied to the Club. Once a Facility Opening has occurred within 30 miles of the Member's listed ZIP code, the deposit is no longer refundable and will be applied toward the Member's initial membership fees.
4. How to Request a Refund
To request a refund, submit your name, the ZIP code on file, and the original payment details to hello@thehickory.club (or via the Club's refund form). Refunds will be made to the original payment method and processed by the Club within a commercially reasonable time (typically within 14 business days), subject to delays caused by payment processors or banks.
5. No Interest / Accounting Treatment
The deposit will not accrue interest and will be held as a refundable deposit in accordance with applicable law. The Club will not treat the deposit as earned revenue while it remains refundable.
6. Changes to Your ZIP Code or Contact Info
Members may update their ZIP code or contact information by notifying the Club. Refund eligibility is determined based on the ZIP code the Club has on file when the refund request or facility-opening determination is made.
7. Transferability
Deposits are personal and not transferable without the Club's prior written consent, which may be granted or withheld in the Club's sole discretion.
8. Limitation and Final Terms
These terms constitute the entire agreement regarding the deposit and supersede all prior understandings. They are governed by the laws of Delaware, without regard to conflict-of-law rules. Any disputes shall be resolved through binding arbitration under the American Arbitration Association's Commercial Rules. If any provision is held invalid, the remainder will remain in effect.
9. Modifications
The Club reserves the right to modify these terms upon 30 days' written notice. Refund requests submitted before modifications take effect will be governed by the terms in effect at the time of request.
By paying a founding member deposit you acknowledge that you have read, understand, and agree to these terms.
